These conditions shall apply to all sales by Midland Chilled Foods Limited, hereinafter called ‘MCF’. These conditions shall override any terms or conditions sought to be imposed by the Customer.

All products are offered subject to availability from the manufacturer.

MCF reserves the right to alter prices or pack sizes and product listings without notice.

All credit accounts must be settled in accordance with the terms laid down by MCF.

Should any accounts remain unpaid beyond their credit terms, MCF reserves the right to suspend further deliveries until payment has been received in respect of all monies outstanding. MCF reserves the right to add interest to all overdue accounts at the rate of 1.5% per month calculated pro rata from the due date to the date of final payment.
The company shall retain ownership of all goods until payment has been received, although all risks in the goods will pass to the Customer on delivery.

All customers are requested to check all goods, as to quality and quantity, at the time of delivery and to notify claims of any damages, shortages or discrepancies to the driver and to cause such claims to be recorded. In signing for the goods the customer is confirming that they have been delivered correctly and in a satisfactory condition. The Company will have no liability to any customer in respect of damage to or shortage of goods which are signed for as “unchecked”. Any other claims, whether as to the quality, quantity or price of goods, must be submitted to MCF, in writing, either by fax or by e-mail, within 24 hours of the delivery of the goods. Goods delivered, on the instructions of a customer, to an unattended, secure location, will be at the Customer’s risk from the time at which MCF’s driver or courier has unloaded the goods to the secure location, which delivery shall be evidenced by the driver’s or courier’s signature on the invoice, together with a record of the time of delivery.

Minimum order value for delivery is £100.00 exclusive of VAT. A charge of £5.00 plus VAT. will be levied on orders below this amount.

VAT. will be charged at the appropriate rate on goods where applicable.

In the event of a Customer’s cheque being returned by the Customer’s bank, marked “Refer to Drawer Please Represent”, “Refer to Drawer” or “Payment Stopped”, an administration charge of £25 will be payable by the Customer in the event of each occurrence.

Last stock orders must be placed before 4.30 pm. on the working day prior to the requested delivery day. Orders for “Special Items” must be ordered in accordance with the timescale laid down by MCF. MCF is unable to guarantee any delivery date specified (which is intended as a best estimate only), but will use its best endeavours to meet it. MCF will not be liable for any loss or damage resulting from a delay in delivery.

MCF will only accept the return, for inspection, of goods subject to complaint by the Customer, if prior authority has been given by MCF. The agreement by MCF to accept the return of goods for inspection does not confer an automatic right on the Customer to make a deduction in respect thereof from payments due to MCF from the Customer. A deduction from a payment due to MCF may only be made when an official credit note has been issued by MCF to the Customer. In instances where MCF considers that a Customer’s claim is not justified, MCF will advise the Customer accordingly, and no deduction in respect thereof will be allowed.
